The court is being asked to order Musk to complete the transaction.
If a settlement isn't reached, a trial will be held in Delaware.
Between Friday and Tuesday, Musk sold nearly $7 billion worth of stock in the company. He said that the sale was to make sure he had enough cash on hand in the unlikely event that the deal closes. In a series of sales that began in November, Musk has sold more than $30 billion of his company's stock.
