A court battle is being prepared by high-powered lawyers. They filed a letter today saying that Musk's attempt to leave the deal is invalid because he and the other Musk Parties have violated the agreement.

William Savitt is a Wachtell partner who has represented other companies in cases against shareholders.

Musk wants out of the company due to the fact that he promised to fix the problem of bot activity on the platform, but that he won't get the information he needs to do so. He has been given all the information he asked for.

Which party owes the other a lot of money depends on who is actually in material violation of their deal. The entire episode is thought to be an attempt by Musk to put the company at a disadvantage so he can buy it for less.

A clause for "specific performance" in the merger agreement could allow a court to force Musk to go through with the deal or pay a bigger penalty.

All we know for certain is that the agreement is not going to be terminated.
