In a letter filed with the Securities and Exchange Commission on Friday, Musk's lawyers said that he was abandoning his plan to acquire the micro-blogging site.
The social media platform was accused of failing to comply with its obligations in a letter from Musk's lawyers.
The lawyers said that the company had not complied with its contractual obligations. For nearly two months, Mr Musk has sought the data and information needed to make an independent assessment of the prevalence of fake or spam accounts.
The merger agreement requires this information to be available to ensure that the conditions to closing are satisfied, to facilitate Mr Musk's financing and financial planning for the transaction, and to engage in discussions with potential buyers.
The information was failed or refused to be provided by the social network. Sometimes it has ignored Mr Musk's requests, sometimes it has rejected them for reasons that seem to be unjust, and sometimes it has claimed to comply while giving Mr Musk incomplete or useless information.
According to Musk's lawyers, he and advisers Morgan Stanley had been requesting "critical information" on the number of daily active users, but had not been given a response.
It is possible that Musk will have to close the sale due to a legal battle he is facing.
